1. Acceptance of Terms
By accessing or using the ZenLabs Wholesale platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility & Account Requirements
2.1 Licensed Healthcare Providers Only
The Service is available exclusively to licensed healthcare providers, including physicians, nurse practitioners, physician assistants, and other licensed medical professionals operating under appropriate physician oversight.
2.2 NPI Verification Required
All accounts must provide a valid National Provider Identifier (NPI) number. We reserve the right to verify credentials and deny access if verification fails.
2.3 Medical Director Requirement
For practices without a physician on staff, enrollment in our Medical Director Program is required. This ensures all operations maintain appropriate physician oversight.
3. Provider Use Only (PUO)
3.1 No Direct Consumer Sales
All products sold through ZenLabs are for Provider Use Only (PUO). Products must not be sold directly to consumers without appropriate medical evaluation, supervision, and informed consent by a licensed physician.
3.2 Physician Oversight Required
Users acknowledge that all products require physician oversight and must be used within the scope of legitimate medical practice. Users are solely responsible for ensuring compliance with all applicable federal, state, and local regulations.
4. Orders & Payment
4.1 Order Acceptance
All orders are subject to acceptance by ZenLabs. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraud.
4.2 Payment Terms
Payment is due at the time of order unless credit terms have been explicitly approved. Accepted payment methods include credit cards, ACH transfers, and account credits.
4.3 Pricing
Prices are subject to change without notice. Tiered pricing structures are available based on order volume. Contact your account representative for current pricing.
5. Shipping & Delivery
5.1 Fulfillment Options
ZenLabs offers direct shipping, 3PL bulk fulfillment, and drop-ship services. Shipping times and costs vary by fulfillment method and destination.
5.2 Title & Risk of Loss
Title and risk of loss pass to the buyer upon delivery to the carrier for direct shipping, or upon delivery to the recipient for drop-ship orders.
6. Returns & Refunds
6.1 Return Policy
Unopened products may be returned within 30 days of delivery for a refund or account credit, subject to a restocking fee. Temperature-sensitive products and custom private label items are non-returnable.
6.2 Damaged or Defective Products
Claims for damaged or defective products must be reported within 7 days of delivery with photographic evidence. Replacements or refunds will be issued at our discretion.
7. Product Information & Disclaimers
7.1 No Medical Claims
ZenLabs makes no medical claims about any products. All product information is for informational purposes only and does not constitute medical advice.
7.2 Certificate of Analysis
Certificates of Analysis (COA) are available for all products. Users are responsible for reviewing COAs and ensuring products meet their quality standards.
7.3 FDA Compliance
Products are labeled in compliance with FDA regulations for research-grade compounds. Users are responsible for compliance with all applicable regulations in their jurisdiction.
8. Intellectual Property
8.1 Trademarks
"ZenLabs Wholesale," our logo, and other marks are trademarks of ZenLabs. Unauthorized use is prohibited.
8.2 Private Label
For private label customers, you retain ownership of your brand assets. You grant ZenLabs a limited license to use your brand assets solely for fulfillment purposes.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
IN NO EVENT SHALL ZENLABS' TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCTS OR SERVICES IN QUESTION DURING THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless ZenLabs from any claims, damages, losses, liabilities, and expenses arising from your use of products, violation of these Terms, or violation of any applicable laws or regulations.
11. Medical Director Program
11.1 Independent Contractor Relationship
Network physicians in the Medical Director Program are independent contractors, not employees or agents of ZenLabs. The physician-client relationship is solely between the network physician and the practice.
11.2 Professional Liability
Practices are responsible for maintaining adequate professional liability insurance. ZenLabs does not provide medical malpractice coverage.
12. Termination
We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or failure to maintain required credentials. You may terminate your account by contacting support.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
